Terms and agreements

This page explains how Trucell Pty Ltd forms contractual relationships for services and related deliverables. It is not a substitute for executed agreements, signed quotes, statements of work, schedules, and master services agreements (MSAs) prevail over website copy.

How agreements are formed

A binding agreement typically arises when Trucell and the client execute a written proposal, order form, statement of work, or master agreement, or when both parties otherwise evidence acceptance in writing (including email) in line with our internal authorisation process. Website enquiries and general marketing materials do not constitute an offer capable of acceptance without further documentation.

Standard terms

Unless otherwise agreed, Trucell may incorporate by reference its standard terms for the relevant service line (support, project, licensing resale, cloud, etc.). Clients should request the current standard terms during procurement. Variations must be recorded in writing and signed by authorised representatives.

Service levels

Service levels, hours of coverage, escalation paths, and credits (if any) are defined in the applicable schedule or managed services agreement, not on this website.

Fees and taxes

Fees are as quoted or as set out in the agreement. Amounts are usually exclusive of GST unless stated otherwise. Invoices are payable within the period stated on the invoice or agreement.

Intellectual property and data

Ownership of pre-existing IP, deliverables, and client data should be addressed in the relevant contract. Where Trucell hosts or processes data, privacy and security commitments are set out in the agreement and applicable privacy policy (Privacy).

Limitation and liability

Liability caps, exclusions, and indemnities are defined in executed agreements. Website content does not extend or reduce those provisions.

Disputes

Dispute resolution (e.g. escalation, mediation, jurisdiction) follows the dispute clause in the applicable agreement.
